Introduction

CHEN Jianhua's main areas of practices are company acquisitions, cross-border investments, general corporate and commercial law practices.

CHEN Jianhuagraduated and obtained a Bachelor of Laws degree from The University of Hong Kong. He has also obtained a Bachelor of Laws degree from Peking University, a Master of Laws degree from The University of London and a Master of Laws degree from Renmin University of China. Terence CHAN is qualified as a PRC lawyer, and is also a China-Appointed Attesting officer of Hong Kong and a Civil Celebrant of Marriages in Hong Kong.

CHEN Jianhua had represented clients on acquisitions of real properties in Hong Kong and acted for Hong Kong banks on financing transactions. He participated in the sale of shopping malls and car parking facilities by Hong Kong Housing Authority to “LINK”, a REIT listing vehicle in Hong Kong.

CHEN Jianhua's working experiences include:

• acting for client in the acquisition and the disposal of a resort and hotel development in Sanya, Hainan, the PRC;
• acting for client in its acquisition of majority interests in a target group (involving offshore and onshore companies and real estate project in Dalin, the PRC);
• acting for client in its joint venture with a US NGO in a hospital management training and consultancy project, establishing a Hong Kong joint venture company, followed by setting up a wholly foreign owned enterprise (WFOE) in the PRC;
• acting for a PRC fund in its investment projects in various Africa countries;
• acting for client in disposing of its target group (including offshore and onshore companies and real estate properties in Beijing, the PRC) to a Hong Kong listed companies:
• advising PRC entities pertaining to the establishment of offices in Hong Kong; and
• providing legal advice relating to the proposed listings of companies in the PRC or overseas.
